Standard Terms and Conditions of Sale


You should update this document to reflect SMU CLOTHING’s own Terms & Conditions. The following text is for reference only.

  1. The client expressly waives their own standard terms and conditions, even if such terms are subsequent to these Standard Terms and Conditions of Sale. For any waiver to be effective, it must be explicitly agreed in writing in advance.
  2. SMU CLOTHING’s invoices are payable within 21 working days, unless an alternative payment timeframe is specified on the invoice or the relevant order. In the event of non-payment by the due date, SMU CLOTHING reserves the right to charge a fixed interest payment equivalent to 10% of the outstanding amount. SMU CLOTHING shall be entitled to suspend all service provision without prior warning in the case of late payment.
  3. Should any payment remain outstanding more than 60 days after the due date, SMU CLOTHING reserves the right to engage the services of a professional debt recovery agency. All associated legal and recovery costs shall be borne by the client.
  4. Certain countries may apply source withholding taxes on invoice amounts in accordance with their domestic legislation. Any such source withholding tax shall be paid by the client to the relevant tax authorities. Under no circumstances shall SMU CLOTHING be liable for any costs arising from the domestic legislation of the client’s country. The full invoice amount shall therefore be due and payable to SMU CLOTHING in its entirety, exclusive of any costs related to the client’s country of residence.
  5. SMU CLOTHING undertakes to use its best endeavors to supply efficient services in a timely manner in accordance with the agreed timelines. However, none of SMU CLOTHING’s obligations shall be construed as a guarantee of specific results. Under no circumstances shall SMU CLOTHING be required by the client to act as a third party in any damages claim filed against the client by an end consumer.
  6. For any claim to be admissible, SMU CLOTHING must be notified in writing via registered post to its registered office within 8 days of the delivery of the goods or the provision of the relevant services.
  7. All contractual relations between SMU CLOTHING and the client shall be governed exclusively by the laws of the People’s Republic of China.
